Job Highlights:
The Counsel – Procurement/Operations will be a member of the Company’s transactional group with a primary focus on Global Procurement contracting matters. The transactional practice group provides day-to-day support for a variety of the Company’s operational activities, including managing supply chain contracts and commercial law matters, drafting and negotiating complex domestic and cross-border transaction agreements, and handling a wide array of other commercial issues that arise from the day-to-day operations of a large, fast-paced multinational corporation. The Counsel will provide legal services to promote and protect the best interests of the Company, as well as its integrity, reputation, assets, officers and employees, while ensuring that the Company operates in compliance with all applicable laws.
Key Components of the Role:
Provide strategic advice, often in collaboration with other Legal team members, to key Procurement stakeholders by engaging with them to identify material commercial and legal risks and to develop and implement strategies to manage such risks in the best interests of the Company. Provide similar support to additional groups within Operations, such as contractual support to the Logistics team. Serve as the primary Legal resource for day-to-day Global Procurement contracting matters.
Apply experience, expertise and judgment to Procurement and other commercial transaction matters, including day-to-day contract counseling; advise stakeholders of potential risks in contractual areas and propose practical risk-mitigation strategies; provide creative and legally sound solutions to drive resolution of disputes with commercial business partners; think outside the box.
Draft, negotiate, and review commercial contracts, including products and services agreements, technology agreements, consulting agreements, confidentiality agreements and other business and legal documents. Manage outside counsel as necessary.
Identify legal training needs and requirements, particularly related to contract matters; assist in the development and delivery of training.
Update current contract templates and develop new templates for use by key stakeholders.
Support other Legal Department initiatives and commercial areas on an as-needed basis.
Qualifications:
JD Degree from an accredited law school and top academic credentials.
Qualified in the UK and/or licensed to practice law in the U.S.
Minimum 7+ years of related experience with commercial transactions, including preparation and review of supply contracts.
Prior law firm experience and/or in-house experience.
Excellent management skills and legal judgment with the capacity to make decisions and give advice that reflects an understanding of overall business objectives and the risks/rewards of each situation.
Strong research and drafting skills and a demonstrated ability to communicate effectively with a non-legal audience, both orally and in writing.
Learning agility and strong organizational skills.
Self-starter with the ability to work independently with minimal supervision and a sense of urgency in a fast-paced environment that requires management of multiple projects simultaneously whilst also being a team player.
Ability to build relationships and influence across all levels within the organization.
Willingness to travel domestically and internationally on an as-needed basis.
Experience within the food and beverage or CPG industry is a plus.
