Job Description:

The Opportunity

The junior-level attorney will act as Counsel and be employed in the Legal Department, providing day-to-day corporate legal support with an emphasis on providing legal advice for Dimensional investment management or advisory services and products in Asian jurisdictions, while seeking consistency across the global firm.  

Reporting to the Lead Asia Counsel & Vice President, this Counsel will provide legal advice and support to the firm’s Singapore, Hong Kong and Japanese subsidiaries, encompassing the investment manager or adviser business and product-related work (including securities law analysis in various jurisdictions) and will interact extensively with personnel in the offices of the firm's international subsidiaries and in the United States, including with colleagues in the firm’s Legal department.  The candidate will demonstrate discretion and judgment, provide legal counsel, planning and services to Dimensional, its subsidiary companies and its fund complexes.  

Responsibilities

  • Research, develop, prepare and maintain a variety of legal documentation, such as investment manager or advisor registrations in relevant jurisdictions and ensure such documentation is in compliance with applicable multi-jurisdictional regulatory law.
  • Track, review and interpret laws, regulations, rules and guidelines which are relevant to the business of Dimensional, its corporate subsidiaries and upkeep of its fund complexes, and work with internal clients to meet their sales, distribution and business objectives within the regulatory environment, including drafting or review of internal policies and procedures, where appropriate.
  • Assist in review/negotiation of contracts using globally approved standards that Dimensional and/or its subsidiary companies and fund complexes may enter into with third party vendors, such as platforms, brokerage firms, service organizations, custodial banks, external research services, etc.
  • Assist in drafting, review and negotiate investment management or advisory agreements for separate account clients located in Asian jurisdictions.
  • Serve as legal consultant to business clients to support formulation and implementation of the strategy including advising on special projects, such as the development of new business, sales and marketing strategic alliances, corporate tax planning, etc.
  • Prepare, and when requested, present materials (including agendas and minutes) for internal meetings, committee meetings, or the meetings of the various corporate boards of Dimensional, its subsidiary companies and its fund complexes as well as related shareholder meetings in accordance with global standards and offering legal advice or identifying issues of importance to the relevant Boards.
  • Work with and oversee the work provided by outside counsel on a variety of legal matters ensuring that standards for service delivery and cost are met.
  • Perform additional legal or corporate services as required.

Qualifications and Experience

  • JD or Bachelor of Laws from a top law school.
  • At least five years of practice (complex contracts, corporate transactions, securities regulatory work, investment adviser and mutual fund issues) in a top-tier law firm and/or experience at an in-house asset manager.
  • Experience with the investment management laws of one of Singapore, Hong Kong or Japan is required.
  • Familiarity with U.S. federal securities law and corporate law including familiarity with Investment Company Act of 1940 and Investment Advisers Act is not essential though desirable.
  • Ability to communicate and/or read and write in one or more of Mandarin/Japanese/Korean is not essential though desirable.
  • Very strong communication skills (verbal and written).
  • Detail oriented, organized and professional.
  • Able to work well in a global team environment observing global standards.
  • Self-starter who is capable of managing multiple projects and meeting deadlines.
  • Technical fluency, including proficiency with Microsoft Office Suite & other legal technology (ebilling, legal document repository, legal research tools), as well as a willingness & ability to learn and adapt to new technologies.
